Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PoolUp mobile application, website, and related services (collectively, the “Services”) provided by PoolUp, Inc. (“PoolUp,” “we,” “us,” or “our”).


By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.


SMS Communications

Users who provide a phone number during registration may receive transactional SMS messages related to their PoolUp account.


These messages may include:

• account verification codes
• contribution confirmations
• savings pool activity notifications
• scheduled contribution reminders


Message frequency varies depending on account activity. Message and data rates may apply.


You may opt out at any time by replying STOP to any SMS message.
For assistance, reply HELP.


SMS messages are only sent to users who provide explicit consent during registration in the PoolUp mobile application.


PoolUp does not send marketing or promotional SMS messages.


1. Nature of the Services

PoolUp, Inc. is a financial technology company and is not a bank.


PoolUp provides a platform that allows users to coordinate shared savings goals, send and receive funds, and manage pooled contributions.


Payment processing and money movement services are provided by third-party payment processors, including Stripe.


PoolUp is not a bank. Funds may be held or processed by third-party payment processors. PoolUp does not provide FDIC insurance.


Balances displayed within the PoolUp application are maintained for coordination and record-keeping purposes and do not represent bank accounts held by PoolUp.


2. Eligibility

To use the Services, you must:

• be at least 18 years of age
• be a resident of the United States
• have the legal capacity to enter into a binding agreement


Minors may not use the Services.


3. Account Registration

You agree to:

• provide accurate and complete information
• maintain the security of your login credentials
• promptly update your information if it changes
• notify PoolUp of any unauthorized use of your account


You are responsible for all activity that occurs under your account.


4. Pool Services

The Services allow users to:

• create savings pools and shared goals
• contribute funds to pools
• send and receive peer-to-peer payments
• participate in referral programs
• access additional features introduced by PoolUp


PoolUp may modify, suspend, or discontinue features at any time.


5. Payments and Funds

PoolUp facilitates payments through third-party processors, including Stripe.


When users contribute funds:

• transactions are processed by Stripe
• funds may be temporarily held in Stripe-controlled accounts
• processing timelines are determined by Stripe


PoolUp maintains an internal ledger reflecting contributions and balances.


PoolUp may impose holds, delays, or reversals where required by:

• fraud prevention procedures
• dispute processes
• regulatory requirements
• Stripe policies


PoolUp does not pay interest on user funds.


6. Withdrawal of Funds

Users may request withdrawal of available funds to a verified external U.S. bank account.


Withdrawals may be subject to:

• identity verification
• fraud or risk review
• dispute or chargeback review
• Stripe processing timelines


Withdrawals may be delayed, limited, reversed, or declined if required by:

• applicable laws
• fraud prevention protocols
• technical limitations
• third-party provider requirements


PoolUp does not guarantee immediate availability of withdrawn funds.


7. Referral Program

PoolUp may offer referral incentives, including a reward of five dollars ($5) per verified contributor.


Referral programs may be subject to eligibility requirements.


PoolUp reserves the right to modify or terminate referral programs at any time.


Rewards obtained through fraud or abuse may be reversed.

8. Prohibited Conduct

You may not use the Services to:

• violate any law or regulation
• engage in fraud or money laundering
• misrepresent the purpose of a pool
• interfere with system integrity or security
• attempt unauthorized access to accounts
• use bots or automated tools without authorization


PoolUp may monitor activity to enforce compliance.


9. Suspension and Termination

PoolUp may suspend, restrict, or terminate accounts at any time if we believe you have violated these Terms or applicable law.


10. Arbitration and Dispute Resolution

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration, except that eligible claims may be brought in small claims court.


You waive the right to participate in a class action lawsuit or jury trial.


11. Limitation of Liability

To the maximum extent permitted by law, PoolUp shall not be liable for indirect, incidental, special, or consequential damages.


PoolUp’s total liability shall not exceed the greater of:

• one hundred dollars ($100), or
• the total fees paid by you to PoolUp in the preceding twelve months.


12. Changes to These Terms

PoolUp may update these Terms at any time.


Material changes will be communicated through the Services or by email.


13. Governing Law

These Terms are governed by the laws of the State of Delaware.
